Longevity Health Co (“Longevity,” “we,” “our,” or “us”) makes available the website located at https://longevityhealthco.com/ and any product pages, online store pages, checkout and account features, educational or wellness content, product review features, tools, forms, resources, contact pages, and other online services that link to or reference these Terms of Use (collectively, the “Site”). Longevity operates the Site as an online retail storefront through which consumers may purchase health, wellness, personal care, nutrition, medical, and other health-related products (collectively, “Products”). Unless expressly stated otherwise, Products may be manufactured, supplied, branded, or distributed by third parties and sold by Longevity as a retailer.

Please read these Terms of Use (these “Terms”) carefully. BY ACCESSING OR USING THE SITE, CREATING AN ACCOUNT, PLACING AN ORDER, SUBMITTING INFORMATION THROUGH THE SITE, POSTING A REVIEW, OR OTHERWISE MANIFESTING ASSENT TO THESE TERMS, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, YOU MAY NOT ACCESS OR USE THE SITE.

These Terms apply to the Site and to purchases made through the Site, except where separate or additional terms expressly apply. The Site may also reference or link to Longevity’s Privacy Policy, Shipping Policy, Return and Refund Policy, subscription or auto-replenishment terms (if applicable), product-specific terms, promotion rules, accessibility statements, and other policies or notices. Third-party websites, payment processors, shipping providers, product manufacturers, marketplaces, social media pages, or other third-party services may be governed by separate terms and policies. If there is a conflict between these Terms and additional terms that expressly apply to a particular Product, order, feature, promotion, or service, those additional terms will control solely with respect to that Product, order, feature, promotion, or service.

1. Eligibility, Scope, and Communications

1.1. Acceptance and Authority. You may use the Site only if you can form a binding contract with Longevity or, for access that does not involve a purchase, if your parent or legal guardian has reviewed and agreed to these Terms on your behalf. You may place an order only if you have reached the age of majority in your jurisdiction and are otherwise legally permitted to purchase the applicable Product. If you use the Site on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” includes that entity.

1.2. Children and Age-Restricted Products. The Site is intended for a general adult audience and is not directed to children. Minors may not create an account, place an order, or submit personal information through the Site except as permitted by applicable law and with any legally required parental or guardian involvement. Certain Products may be subject to minimum-age, identity-verification, quantity, geographic, or other purchase restrictions. We may refuse or cancel an order if we cannot verify that applicable requirements are satisfied.

1.3. Electronic Communications. By submitting a form, placing an order, creating an account, signing up for updates, posting a review, communicating with us through the Site, or otherwise providing contact information, you consent to receive electronic communications from us, including order confirmations, shipping notices, product safety or recall communications, responses to inquiries, administrative messages, transactional messages, and other communications related to your use of the Site or your purchases. Where required by applicable law, marketing communications will be sent only with appropriate consent or another lawful basis and will remain subject to applicable communication preferences and unsubscribe rights.

2. Access to and Use of the Site

2.1. Access to the Site. Access to public portions of the Site is generally provided free of charge. Certain Products, resources, promotional offers, account features, product review features, checkout functionality, or other features may be available only in particular territories, shipping areas, formats, customer categories, age groups, or quantities, or may redirect to third-party websites or services that are not governed by these Terms.

2.2. Accounts, Checkout, and Interactive Features. The Site may allow you to create an account, place orders, subscribe to updates, post reviews, ask product questions, request customer support, or otherwise interact with Longevity or third parties. If any feature requires registration, credentials, payment information, shipping information, health-related preferences, or other information, you agree to provide accurate, current, and complete information; maintain the security of any credentials; promptly update information as necessary; and notify us if you suspect unauthorized access or misuse. You are responsible for activity occurring through your account to the extent permitted by applicable law. You may not sell, transfer, assign, share, license, or otherwise permit another person to use your account or account credentials.

2.3. Limited License. Subject to your compliance with these Terms, Longevity grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Site for your personal, informational, non-commercial use and to purchase Products for personal or household use. No rights are granted except as expressly stated in these Terms.

2.4. Site Changes and Availability. We may update, modify, suspend, discontinue, restrict, or remove any part of the Site at any time without notice, subject to applicable law. We do not guarantee that the Site, checkout, account features, product pages, product descriptions, inventory information, pricing, promotions, shipping estimates, reviews, educational content, or other content will be available, uninterrupted, secure, accurate, complete, current, or error-free. The Site may be unavailable due to maintenance, updates, technical issues, security issues, internet failures, acts of third parties, supply-chain issues, payment-processor issues, shipping-carrier issues, regulatory restrictions, recalls, or circumstances outside our reasonable control.

2.5. Suspension and Termination. We may suspend or terminate your access to the Site, your account, your ability to place orders, or any feature if we reasonably believe you have violated these Terms, violated applicable law, created risk for Longevity or others, interfered with the Site, submitted inaccurate or inappropriate information, engaged in fraudulent, abusive, or unauthorized activity, misused promotions, manipulated reviews, attempted unauthorized resale, circumvented Product restrictions, or otherwise acted in a manner inconsistent with these Terms. You may stop using the Site at any time.

2.6. Prohibited Conduct. You may not:

1. use the Site for any unlawful, fraudulent, deceptive, harmful, infringing, abusive, harassing, or unauthorized purpose;
2. copy, modify, adapt, translate, create derivative works from, reverse engineer, decompile, disassemble, or otherwise attempt to derive source code or non-public technology from the Site, except to the extent such restriction is prohibited by applicable law;
3. use any robot, spider, scraper, crawler, data-mining tool, artificial intelligence training tool, or other automated or manual process to access, harvest, index, copy, monitor, or compile content from the Site except as permitted by publicly available search-engine indexing instructions or our express written authorization;
4. interfere with, disrupt, damage, overload, impair, or circumvent the Site, its security, checkout functionality, payment functionality, account features, age or location controls, purchase limits, or any server or network connected to the Site;
5. introduce viruses, malware, worms, Trojan horses, back doors, logic bombs, or other harmful code;
6. impersonate any person or entity or misrepresent your affiliation, identity, credentials, authority, age, location, eligibility, medical or professional status, or eligibility to purchase a Product or participate in a promotion;
7. access or attempt to access non-public areas, accounts, systems, data, customer information, order information, or restricted Product information without authorization;
8. remove, obscure, or alter copyright, trademark, proprietary-rights, product-label, ingredient, allergen, dosage, direction, warning, contraindication, expiration-date, safety, regulatory, recycling, or legal notices;
9. frame, mirror, deep link, or otherwise make available the Site or any content in a manner that suggests sponsorship, endorsement, affiliation, authorization, clinical approval, or resale rights without our written permission;
10. use the Site, Longevity Materials, product images, product descriptions, reviews, or other materials to develop, train, improve, or benchmark a competing product, service, website, model, dataset, marketplace, or retail platform without authorization;
11. submit, solicit, purchase, sell, exchange, or otherwise traffic in ratings, reviews, endorsements, testimonials, coupons, discounts, or recommendations;
12. manipulate or attempt to manipulate ratings, reviews, rankings, recommendations, visibility, product availability, promotions, checkout limitations, shipping restrictions, age restrictions, quantity limits, or other Site features;
13. create multiple accounts, use false information, or engage in coordinated activity to influence reviews, rankings, product perception, promotion eligibility, purchase limits, or other Site features;
14. use the Site to purchase Products for unauthorized resale, export, diversion, or distribution, or in violation of applicable laws, manufacturer restrictions, Product restrictions, or promotion terms;
15. submit false, misleading, defamatory, infringing, confidential, private, harmful, obscene, discriminatory, hateful, threatening, abusive, or otherwise objectionable content, including false or misleading health or product claims; or
16. otherwise use the Site in a manner inconsistent with these Terms or applicable law.

2.7. Codes of Conduct and Feature-Specific Rules. You agree to comply with any review guidelines, content standards, acceptable-use policies, moderation rules, promotion rules, Product-specific restrictions, or other rules, policies, or requirements posted on or made available through the Site or any applicable feature, as they may be updated from time to time. Any violation of such rules, policies, or requirements will constitute a violation of these Terms.

3. Products, Health Information, Orders, Pricing, and Fulfillment

3.1. Retailer Role and Third-Party Products. Longevity operates the Site as a retailer. Unless expressly stated otherwise, Longevity is not the manufacturer, developer, healthcare provider, prescriber, or laboratory responsible for third-party Products sold through the Site. Product names, trademarks, packaging, instructions, specifications, claims, warranties, and other materials may be supplied by or originate from the applicable manufacturer, brand owner, distributor, or other third party. References to a third-party Product or brand do not imply that Longevity is the manufacturer of that Product.

3.2. Product Information. The Site may make available information about Product ingredients, materials, composition, intended uses, directions, specifications, sizing, certifications, attributes, claims, warnings, contraindications, nutrition or supplement facts, regulatory status, packaging, availability, manufacturer information, and other Product-related information. We seek to present information accurately, but Product formulations, materials, packaging, labels, ingredients, instructions, warnings, certifications, claims, pricing, promotions, availability, regulatory status, and other Product characteristics may change from time to time, including changes made by third-party manufacturers or suppliers.

3.3. Labels, Packaging, and Instructions Control. Product information on the Site is provided for convenience and general informational purposes. Before purchasing or using a Product, you should review the physical Product label, packaging, instructions for use, warnings, contraindications, dosage or usage directions, expiration or use-by information, and manufacturer materials supplied with the Product. To the extent information on the Site differs from the Product label, packaging, or manufacturer instructions accompanying the Product, you should follow the information accompanying the Product, subject to applicable law. Do not use a Product if required labeling, safety seals, packaging, or instructions appear missing, altered, damaged, or inconsistent with the Product you ordered.

3.4. No Medical Advice; No Healthcare Relationship. The Site and its content, including Product descriptions, educational materials, articles, reviews, recommendations, search results, quizzes, tools, and other information, are provided for general informational and retail purposes only. They are not a substitute for professional medical advice, diagnosis, treatment, or emergency care, and use of the Site does not create a physician-patient, clinician-patient, pharmacist-patient, or other healthcare-provider relationship with Longevity. Longevity does not diagnose conditions or prescribe treatment through these Terms or the retail Site unless a separate service expressly states otherwise and is governed by separate terms. Do not disregard or delay seeking professional medical advice because of information available through the Site. If you believe you are experiencing a medical emergency, call 911 or seek appropriate emergency care.

3.5. Individual Suitability, Allergies, Interactions, and Safe Use. Health-related Products may not be appropriate for every person. You are responsible for determining whether a Product is suitable for you and for using it in accordance with applicable labels, warnings, instructions, and professional guidance. Before using a Product, consult an appropriate licensed healthcare professional when warranted, including if you are pregnant or nursing, are under medical care, have allergies or sensitivities, have a medical condition, take prescription or nonprescription medications or supplements, use implanted or assistive medical devices, or have questions about possible interactions, contraindications, side effects, or risks. Discontinue use and seek appropriate medical attention if you experience an unexpected or serious reaction or other safety concern.

3.6. Product Claims and Regulatory Status. Descriptions of health, wellness, nutritional, cosmetic, functional, performance, or other Product attributes are intended to describe the Product and should be understood in the context of the applicable Product labeling and manufacturer information. A Product’s presence on the Site does not mean that it has been approved, cleared, authorized, evaluated, or endorsed by any governmental or regulatory authority unless the Site expressly states so and such statement is accurate for that Product. Products should not be used to diagnose, treat, cure, mitigate, or prevent disease except to the extent such use is expressly supported by the Product’s applicable lawful labeling or instructions.

3.7. Restricted, Regulated, and Location-Limited Products. Certain Products may be subject to age restrictions, quantity limits, identity verification, geographic restrictions, prescription or professional-use restrictions, shipping limitations, storage requirements, regulatory requirements, or other conditions imposed by law, a manufacturer, a carrier, or Longevity. We may request information reasonably necessary to verify eligibility, restrict or refuse shipment to certain locations, limit quantities, or cancel an order if legal or operational requirements cannot be satisfied. The availability of a Product on the Site does not guarantee that the Product may lawfully be purchased, shipped, possessed, or used in every jurisdiction.

3.8. Product Images and Descriptions. Product images, packaging images, lifestyle images, diagrams, dimensions, colors, and other visual or descriptive materials are for illustrative purposes only. Actual Products, packaging, colors, labels, configurations, sizes, materials, and appearances may vary, including because manufacturers may change packaging or specifications without prior notice. You should not rely solely on photographs or abbreviated descriptions when a Product characteristic is important to safe or appropriate use.

3.9. Orders and Acceptance. By placing an order through the Site, you represent that all information you provide is accurate, current, and complete; that you are authorized to use the payment method provided; that you satisfy any applicable age, location, or other purchase restrictions; and that you are purchasing Products for lawful personal or household use. Please review your order carefully before submitting it. Your receipt of an order confirmation does not constitute acceptance of your order. Once an order has been accepted or entered into fulfillment, we may be unable to cancel or modify it at your request. Any customer-requested cancellation or modification is subject to Longevity’s Return and Refund Policy, any Product-specific terms, and applicable law. We reserve the right to accept, decline, cancel, limit, or modify any order at any time, including due to Product unavailability, recalls, suspected fraud, pricing or Product errors, shipping or regulatory restrictions, payment issues, unusually large quantities, unauthorized resale concerns, or other circumstances, subject to applicable law. If we cancel an order after payment has been collected, we will issue any required refund.

3.10. Pricing, Promotions, and Taxes. Prices, discounts, promotions, Product availability, shipping charges, taxes, and other charges are subject to change without notice, subject to applicable law. The Product price, shipping charges, taxes, and other fees presented at checkout and reflected in your order confirmation generally will be the amounts charged for the order, subject to correction of obvious pricing, listing, tax, shipping, or other errors, changes you authorize, and applicable law. We may correct errors, inaccuracies, or omissions, including after an order has been submitted, and may cancel an affected order and provide any required refund. Promotions may be subject to additional terms, eligibility requirements, quantity limits, geographic restrictions, expiration dates, exclusions, and other conditions. You are responsible for sales, use, excise, or other taxes or charges applicable to your purchase, except taxes imposed on Longevity’s net income.

3.11. Payment. You agree to pay all charges associated with your order, including Product prices, shipping and handling charges, taxes, and other applicable fees disclosed at checkout. Payment processing may be handled by third-party payment processors, and your use of those services may be subject to their terms and policies. We are not responsible for payment-processor errors, delays, security incidents, declined payments, or other payment-processing issues outside our reasonable control, except to the extent responsibility cannot be disclaimed under applicable law.

3.12. Shipping, Delivery, Risk of Loss, and Title. Shipping and delivery dates are estimates only and are not guaranteed. Shipping may be unavailable to certain addresses, territories, jurisdictions, or for certain Products. Risk of loss and title for Products purchased through the Site pass as provided by applicable law and any shipping terms disclosed at checkout or in Longevity’s Shipping Policy. We are not responsible for delays, delivery failures, damage, loss, theft, or misdelivery caused by carriers, weather, incorrect addresses, access limitations, regulatory holds, or events outside our reasonable control, except to the extent responsibility cannot be limited under applicable law. 3.13. Returns, Refunds, Exchanges, and Damaged Products. Returns, refunds, exchanges, replacements, and damaged-Product claims are governed by Longevity’s Return and Refund Policy and any Product-specific restrictions disclosed at purchase. For health, hygiene, safety, contamination-control, or regulatory reasons, certain opened, used, unsealed, temperature-sensitive, personalized, consumable, or otherwise restricted Products may be nonreturnable or subject to special conditions, to the extent permitted by applicable law. We may require proof of purchase, photographs, lot or serial numbers, packaging information, return of the Product, or other documentation to evaluate a claim. 3.14. Recalls, Safety Notices, and Product Corrections. A manufacturer, supplier, regulator, or Longevity may announce a recall, safety notice, correction, replacement program, or other Product action. You agree to follow applicable instructions provided with such notice, including instructions to stop using, dispose of, return, repair, update, or replace a Product. We may use the contact information associated with your order or account to send transactional Product-safety or recall communications. You should keep your account and contact information current so that we can reach you when appropriate.

4. Longevity Content, Intellectual Property, and Site Information

4.1. Longevity Materials. The Site and all information, data, text, photographs, videos, graphics, illustrations, logos, icons, service marks, trade names, slogans, audio, scripts, designs, layouts, interfaces, software, databases, files, downloads, articles, educational materials, pages, features, and other content or materials created by, owned by, or licensed to Longevity and made available on or through the Site (collectively, “Longevity Materials”) are owned by Longevity, its affiliates, or its licensors and are protected by intellectual-property and other laws. Content relating to third-party Products, including product names, trademarks, logos, packaging, images, instructions, and manufacturer materials, may be owned by the applicable manufacturer, brand owner, or other third party.

4.2. Trademarks. The Longevity name, logos, service marks, trade names, slogans, and other proprietary identifiers displayed on the Site are trademarks or other proprietary identifiers of Longevity or its licensors. Third-party product names, brand names, logos, packaging, and other marks displayed on the Site are the property of their respective owners. You may not use or reproduce any such name, logo, trademark, trade dress, or other proprietary identifier without authorization from the applicable rights holder, except as permitted by applicable law.

4.3. No Transfer of Ownership. Except for the limited license in Section 2.3, nothing in these Terms transfers or grants to you any right, title, or interest in or to the Site, Longevity Materials, Longevity trademarks, or any related intellectual-property rights. All rights not expressly granted are reserved by Longevity and its licensors.

4.4. Permitted Informational Use. You may view Site pages and download or print reasonable copies of publicly available Longevity Materials solely for personal, informational, non-commercial use, provided that you do not remove proprietary notices, modify the materials, imply Longevity’s or a third party’s endorsement, use the materials to make unauthorized health or Product claims, or use the materials in a misleading, unlawful, or competitive manner. Any other reproduction, distribution, public display, public performance, adaptation, republication, resale, commercial use, or use in advertising, marketing, merchandising, training datasets, artificial-intelligence systems, or competitive materials requires prior authorization from Longevity and, where applicable, any relevant third-party rights holder.

5. User Submissions, Reviews, Feedback, and Third-Party Materials

5.1. User Submissions. The Site may allow you to submit reviews, ratings, comments, questions, inquiries, contact information, customer-service requests, product feedback, photographs, videos, files, or other content (collectively, “User Submissions”). You retain any rights you have in your User Submissions, subject to the rights granted to Longevity in these Terms and any separate terms that apply to the relevant feature or platform.

5.2. Responsibility for User Submissions. You are solely responsible for your User Submissions and represent that you have all rights, permissions, and consents necessary to submit them and to grant the rights described in these Terms. You may not submit any User Submission that is unlawful, false, misleading, defamatory, obscene, harassing, abusive, threatening, discriminatory, hateful, infringing, confidential without authorization, invasive of privacy, harmful to minors, or otherwise objectionable, or that contains malware or other harmful code.

5.3. Product Reviews and Testimonials. You may submit ratings, reviews, testimonials, photographs, videos, and other Product-related User Submissions only in connection with your actual, first-hand experience with the applicable Product. You may not submit: (a) a review or rating where you have a material financial, ownership, employment, familial, competitive, or other relationship that creates a conflict of interest unless that relationship is clearly and conspicuously disclosed; or (b) manipulated, false, misleading, incentivized, or inauthentic reviews, or reviews submitted in exchange for compensation, discounts, free Products, sweepstakes entries, or other consideration unless expressly permitted by Longevity and clearly disclosed in compliance with applicable law. You may not present personal health outcomes as universally applicable or make claims about a Product that you know are false or misleading.

5.4. Submission Standards. You may expose yourself to liability if your User Submissions contain material that is false, intentionally misleading, or defamatory; violates any third-party right, including copyright, trademark, patent, trade secret, privacy, publicity, or other intellectual-property or proprietary rights; contains unlawful material; exploits or otherwise harms minors; violates or advocates the violation of law; improperly discloses another person’s health or personal information; or violates these Terms.

5.5. License to User Submissions. By submitting User Submissions, you grant Longevity a worldwide, perpetual, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, modify, adapt, create derivative works of, translate, publish, display, distribute, store, transmit, and otherwise process the User Submissions for the purposes of operating, securing, improving, and administering the Site; displaying User Submissions; creating summaries, compilations, analytics, and marketing materials; promoting Longevity, the Site, and Products sold through the Site; responding to your inquiry; evaluating requests; maintaining records; enforcing rights; complying with law; and carrying out other lawful business purposes, subject to applicable law.

5.6. Feedback. If you submit ideas, suggestions, comments, proposals, Product suggestions, Site improvements, marketing ideas, or other feedback about Longevity, the Site, Products, services, content, initiatives, or business activities (collectively, “Feedback”), you agree that Longevity may use Feedback without restriction, attribution, or compensation to you, to the extent permitted by applicable law.

5.7. No Obligation to Monitor. We may, but are not obligated to, review, monitor, edit, reject, restrict, remove, refuse, or otherwise limit the visibility of User Submissions or other content submitted through the Site at any time and for any reason, with or without notice, including if we believe the content violates these Terms, applicable law, or the rights or interests of Longevity or any third party.

5.8. Third-Party Materials and Links. The Site may include links to third-party websites, social-media platforms, embedded tools, videos, manufacturer websites, product-support resources, payment processors, shipping providers, review providers, marketing tools, hosting providers, or other resources (collectively, “Third-Party Materials”). Third-Party Materials are provided for convenience only. Longevity does not control and is not responsible for Third-Party Materials, their content, availability, security, accuracy, practices, or policies. Your use of Third-Party Materials is at your own risk and may be governed by separate terms and policies.

5.9. Reviews, User Opinions, and Health Experiences. Ratings, reviews, testimonials, photographs, videos, and other User Submissions reflect the opinions and experiences of individual users and do not necessarily reflect the views of Longevity, a Product manufacturer, or any healthcare professional. Longevity does not endorse, verify, investigate, or guarantee the accuracy, completeness, reliability, safety, or quality of any User Submission. Individual responses to health-related Products may vary significantly, and a user’s experience is not evidence that the same result will occur for you. Reviews and testimonials are not medical advice and should not be used as a substitute for Product labeling, warnings, instructions, or professional medical advice. Your reliance on any User Submission is at your own risk.

5.10. Relationship with Shopify. The Site and online store are powered by Shopify, which provides technology that enables Longevity to operate the Site and facilitate online transactions. Products purchased through the Site are sold by Longevity, and the purchase transaction is between you and Longevity, not Shopify. Your use of Shopify-provided features may also be subject to Shopify’s applicable terms and privacy notices.

6. Representations

6.1. Your Representations. You represent and warrant that: (a) you have the right, authority, and capacity to agree to these Terms; (b) the information you provide to Longevity is truthful, accurate, current, and complete; (c) you will comply with these Terms and all applicable laws; (d) your access to and use of the Site will not violate any contract, legal obligation, or third-party right; (e) you will not use the Site to obtain unauthorized access to any system, data, account, order information, customer information, or content; and (f) you will not use the Site or Longevity Materials in a manner that infringes, misappropriates, or otherwise violates intellectual-property, privacy, publicity, confidentiality, consumer-protection, advertising, or other rights of Longevity or any third party.

6.2. Submission Representations. If you provide User Submissions or Feedback, you further represent and warrant that: (a) you own or otherwise have sufficient rights to provide them; (b) you have obtained all necessary consents and permissions; (c) they are accurate to the best of your knowledge and are not misleading; and (d) Longevity’s receipt and permitted use of them will not violate applicable law or the rights of any third party.

6.3. Purchase Representations. If you place an order through the Site, you further represent and warrant that: (a) you are legally permitted to purchase, receive, possess, and use the Products ordered; (b) you satisfy any applicable age, location, or eligibility restrictions; (c) you are purchasing Products for lawful personal or household purposes and not for unauthorized resale, diversion, export, or distribution; (d) you will review and follow applicable Product labels, warnings, instructions, storage requirements, and safety information; and (e) you will comply with any Product-specific, shipping, promotion, or other terms applicable to your order.

7. Disclaimers of Warranty

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE, LONGEVITY MATERIALS, THIRD-PARTY MATERIALS, PRODUCT INFORMATION, EDUCATIONAL OR WELLNESS CONTENT, PRODUCT REVIEWS, AND PRODUCTS PURCHASED THROUGH THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, AVAILABILITY, SECURITY, RELIABILITY, ERROR-FREE OPERATION, OR THAT ANY PRODUCT WILL BE APPROPRIATE FOR YOUR INDIVIDUAL HEALTH NEEDS OR WILL ACHIEVE ANY PARTICULAR MEDICAL, CLINICAL, HEALTH, WELLNESS, PERFORMANCE, OR OTHER OUTCOME.

WITHOUT LIMITING THE FOREGOING, LONGEVITY DOES NOT WARRANT THAT THE SITE OR LONGEVITY MATERIALS WILL MEET YOUR REQUIREMENTS; THAT THE SITE WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; THAT THE SITE OR ANY SERVER IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; THAT PRODUCT INFORMATION, PRICING, AVAILABILITY, SHIPPING ESTIMATES, REGULATORY INFORMATION, REVIEWS, OR OTHER INFORMATION OBTAINED THROUGH THE SITE WILL BE ACCURATE, COMPLETE, CURRENT, OR RELIABLE; OR THAT ANY PRODUCT WILL BE AVAILABLE IN A PARTICULAR QUANTITY, LOCATION, SIZE, FORM, CONFIGURATION, OR FORMULATION.

NOTHING IN THESE TERMS EXCLUDES, RESTRICTS, OR MODIFIES ANY WARRANTY, GUARANTEE, CONDITION, RIGHT, REMEDY, OR PRODUCT-LIABILITY OBLIGATION THAT CANNOT BE EXCLUDED, RESTRICTED, OR MODIFIED UNDER APPLICABLE LAW. WHERE SUCH RIGHTS APPLY, ALL DISCLAIMERS IN THESE TERMS ARE SUBJECT TO THOSE RIGHTS.

8. Indemnity and Limitation of Liability

8.1. Indemnity. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS LONGEVITY, ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, SUPPLIERS, SUCCESSORS, AND ASSIGNS FROM AND AGAINST ANY CLAIMS, LIABILITIES, DAMAGES, LOSSES, COSTS, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES, ARISING OUT OF OR RELATING TO: (A) YOUR UNLAWFUL OR UNAUTHORIZED ACCESS TO OR USE OF THE SITE; (B) YOUR USER SUBMISSIONS OR FEEDBACK; (C) YOUR VIOLATION OF THESE TERMS; (D) YOUR VIOLATION OF APPLICABLE LAW OR THIRD-PARTY RIGHTS; (E) YOUR UNAUTHORIZED RESALE, EXPORT, DIVERSION, MARKETING, OR DISTRIBUTION OF PRODUCTS; OR (F) YOUR FRAUD, WILLFUL MISCONDUCT, OR MATERIAL MISREPRESENTATION. LONGEVITY WILL PROVIDE REASONABLE NOTICE OF ANY INDEMNIFIABLE CLAIM, AND DELAY IN NOTICE WILL NOT RELIEVE YOU OF YOUR OBLIGATIONS EXCEPT TO THE EXTENT MATERIALLY PREJUDICED. LONGEVITY MAY CONTROL THE DEFENSE AND SETTLEMENT WITH COUNSEL OF ITS CHOOSING, AT YOUR EXPENSE, BUT WILL NOT SETTLE A CLAIM THAT IMPOSES NON-MONETARY OBLIGATIONS ON YOU WITHOUT YOUR CONSENT, NOT TO BE UNREASONABLY WITHHELD. YOU WILL REASONABLY COOPERATE IN THE DEFENSE.

8.2. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LONGEVITY AND ITS AFFILIATES, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, SUPPLIERS, SUCCESSORS, AND ASSIGNS, WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, OR SIMILAR DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, DATA, PROGRAMS, BUSINESS, OPPORTUNITY, OR OTHER INTANGIBLE LOSS, ARISING OUT OF OR RELATING TO THE SITE, LONGEVITY MATERIALS, THIRD-PARTY MATERIALS, USER SUBMISSIONS, PRODUCT INFORMATION, PRODUCTS, ORDERS, SHIPPING, DELIVERY, PRODUCT AVAILABILITY, OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.3. Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LONGEVITY’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SITE, LONGEVITY MATERIALS, THIRD-PARTY MATERIALS, USER SUBMISSIONS, PRODUCTS, ORDERS, SHIPPING, DELIVERY, PRODUCT AVAILABILITY, OR THESE TERMS WILL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LONGEVITY FOR THE PRODUCT OR ORDER GIVING RISE TO THE CLAIM; (B) ONE HUNDRED U.S. DOLLARS ($100); OR (C) THE MINIMUM AMOUNT THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW. IF YOU ARE DISSATISFIED WITH THE SITE OR THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY WITH RESPECT TO THE SITE ITSELF IS TO DISCONTINUE USING THE SITE.

8.4. Mandatory Law. NOTHING IN THESE TERMS LIMITS OR EXCLUDES LIABILITY TO THE EXTENT SUCH LIMITATION OR EXCLUSION IS PROHIBITED BY APPLICABLE LAW, INCLUDING LIABILITY FOR FRAUD, WILLFUL MISCONDUCT, PERSONAL INJURY OR DEATH TO THE EXTENT CAUSED BY A PRODUCT OR CONDUCT FOR WHICH LIABILITY CANNOT LAWFULLY BE LIMITED OR EXCLUDED, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED.

9. Governing Law and Dispute Resolution

9.1. Governing Law. Except to the extent mandatory law provides otherwise, these Terms and any dispute, claim, or controversy arising out of or relating to the Site, Longevity Materials, User Submissions, Products purchased through the Site, orders, shipping, delivery, or these Terms will be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law rules that would require application of another jurisdiction’s laws.

9.2. Courts. Except to the extent applicable mandatory law gives you the right to bring proceedings in another forum, any dispute arising out of or relating to the Site, Products purchased through the Site, orders, shipping, delivery, or these Terms will be submitted to the applicable state or federal court located in King’s County, New York. You and Longevity each retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction to prevent actual or threatened infringement, misappropriation, unauthorized use, data-security violations, confidentiality violations, fraud, or other violation of intellectual-property, confidentiality, data-security, or other rights.

9.3. Time Limitation on Claims. To the fullest extent permitted by applicable law, any claim, cause of action, dispute, or proceeding arising out of or relating to these Terms, the Site, any User Submission, any Product purchased through the Site, any order, any delivery, or your relationship with Longevity must be commenced within one (1) year after the claim or cause of action arose. Any claim not commenced within such period will be barred to the extent permitted by applicable law, notwithstanding any longer statute of limitations that may otherwise apply.

9.4. Class Action Waiver. To the fullest extent permitted by applicable law, you and Longevity agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, consolidated, representative, or private-attorney-general action or proceeding arising out of or relating to these Terms, the Site, any Product purchased through the Site, any order, any delivery, or your relationship with Longevity. Unless both you and Longevity agree otherwise in writing, any such claim must be brought solely on an individual basis and may not be asserted or maintained as part of any class, collective, consolidated, representative, or private-attorney-general action or proceeding, to the extent this waiver is enforceable under applicable law.

9.5. Consumer Rights. If you are a consumer, nothing in these Terms deprives you of the protection of mandatory provisions of the law of the country, state, province, or territory where you reside or any non-waivable rights to which you are entitled under applicable law.

10. Miscellaneous

10.1. Changes to these Terms. We may revise these Terms from time to time by posting an updated version on the Site or by providing other notice as required by applicable law. Unless otherwise stated in the updated Terms, changes apply when posted and do not apply retroactively to events that occurred before the changes. Your continued use of the Site after updated Terms are posted constitutes your acceptance of the updated Terms to the extent permitted by applicable law.

10.2. Entire Agreement. These Terms, together with any policies and additional terms expressly incorporated by reference or posted on the Site, constitute the entire agreement between you and Longevity regarding the Site and purchases made through the Site and supersede all prior or contemporaneous understandings regarding the same subject matter. Separate terms may govern subscriptions, auto-replenishment programs, promotions, manufacturer programs, professional services, or other features or services if Longevity offers them.

10.3. Waiver and Severability. Longevity’s failure to enforce any provision of these Terms is not a waiver of its right to do so later. If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect, and the invalid, illegal, or unenforceable provision will be modified or severed to the minimum extent necessary to make these Terms valid and enforceable.

10.4. Assignment. You may not assign, transfer, or delegate your rights or obligations under these Terms without Longevity’s prior written consent. Any attempted assignment, transfer, or delegation without such consent is void. Longevity may assign, transfer, or delegate these Terms or its rights and obligations at any time, subject to applicable law.

10.5. No Agency or Healthcare Relationship. You and Longevity are independent parties. These Terms do not create any agency, partnership, joint venture, employment, franchise, fiduciary, distributor, reseller, broker, healthcare-provider, pharmacy-patient, physician-patient, or other similar relationship between you and Longevity.

10.6. Survival. Any provisions of these Terms that by their nature should survive termination or expiration will survive, including provisions regarding ownership, intellectual property, User Submissions, Feedback, Product information, health and medical disclaimers, disclaimers of warranty, indemnity, limitation of liability, governing law, dispute resolution, and interpretation.

10.7. Language. These Terms may be made available in more than one language. To the extent permitted by applicable law, the version designated by Longevity as controlling will govern. Any translation is provided for convenience only.
